Terms and Conditions of Use

1. Definitions

For the purposes of these Terms and Conditions:

• ISOdodo (also "we", "us", "our" or the "Provider") means the operator of the Platform.
• Platform or Service means the ISOdodo website, web application, related content, training materials, document templates, AI features and any associated service made available by ISOdodo.
• User or you means the natural person acting on behalf of a company, professional firm or other legal entity that registers for, accesses or uses the Platform.
• Business Account means an account registered by a company or organisation for the purpose of implementing an ISO management system within its own organisation.
• Professional Account means an account registered by a consultant, professional or firm that manages certification paths on behalf of its own clients, subject to the verification process described in Section 4.
• Certification Path or Path means the structured programme relating to a specific ISO standard made available through the Platform, comprising training videos, editable document templates, AI assistance and the guided submission of documentation.
• Certification Body means the independent third-party organisation responsible for auditing a management system and, where applicable, issuing the relevant ISO certificate.
• User Content means any data, information, document, file or other material uploaded, entered or generated by the User through the Platform.
• AI Features means the artificial intelligence functionality available on the Platform, including the virtual assistant "Isotta".

2. Scope and acceptance

These Terms and Conditions constitute the entire agreement between the User and ISOdodo in relation to the use of the Platform, together with the Privacy Policy, which forms an integral part of this agreement.

By ticking the acceptance box during registration, by creating an account, or by accessing or using the Platform in any way, the User declares that they have read, understood and unconditionally accepted these Terms and Conditions. Users who do not accept these Terms and Conditions must not register for or use the Platform.

Where the User registers on behalf of a company or other legal entity, the User warrants that they have the authority to bind that entity, and references to "User" in these Terms shall be deemed to include that entity.

3. Nature and scope of the Service

ISOdodo provides a digital environment designed to support companies and professionals in the preparation, organisation and management of documentation relating to management systems compliant with ISO standards. The Service typically includes access to training content, editable document templates, progress tracking, AI-assisted support and the guided transmission of the completed documentation to a Certification Body.

ISOdodo works in partnership with established Certification Bodies. Within the scope of the Certification Path purchased, ISOdodo undertakes to:

• make available the training content, the editable document templates and the support tools needed to build the documentation of the management system;
• transmit the documentation submitted by the User to the partner Certification Body, so that the User does not have to deal with it directly;
• act as the User's point of contact in managing the certification request and keep the User informed of its progress and of its outcome.

These undertakings are obligations of means: ISOdodo performs them diligently and professionally, but the assessment of the management system and the decision on the issue of the certificate rest exclusively with the Certification Body.

The User therefore expressly acknowledges and accepts that:

• ISOdodo is a technical and operational support tool and does not perform certification, accreditation or audit activities;
• ISOdodo does not issue ISO certificates and has no power to determine the outcome of any audit or certification process;
• the content made available through the Platform does not constitute legal, technical, regulatory or professional advice and does not replace the assessment of a qualified professional;
• the assessment of the management system, the audit and the issue of any certificate are carried out exclusively by an independent Certification Body, according to its own criteria, procedures and timescales, over which ISOdodo has no control;
• the obtaining, maintenance and renewal of a certification depend on the actual conformity of the User's management system and on the assessment of the Certification Body, and cannot therefore be guaranteed by ISOdodo.

ISOdodo may modify, expand, restrict or discontinue individual features, standards or content of the Platform, provided that such changes do not substantially compromise the Certification Paths already purchased and still active.

4. Eligibility and registration

The Platform is addressed exclusively to companies, professionals and other entities acting in the course of their business, trade or profession. It is not intended for consumers.

By registering, the User declares and warrants that:

• they are at least 18 years old and have full legal capacity to enter into binding agreements under the applicable law;
• they are acting in a professional or business capacity and not as a consumer;
• all information provided during registration, including company name, VAT number, business classification code, business sector, number of employees, country and contact details, is true, accurate, complete and up to date.

The User undertakes to promptly update such information whenever it changes. ISOdodo may suspend or close accounts containing information that is untrue, incomplete or impossible to verify.

Only one account may be registered per company or professional firm. ISOdodo reserves the right to merge, suspend or delete duplicate accounts.

Professional Accounts are subject to prior verification by ISOdodo. Registration as a Professional Account does not in itself grant access to the relevant features: ISOdodo carries out a review of the information provided and communicates the outcome by email, normally within 24 working hours. ISOdodo may accept or reject a request at its reasonable discretion, in particular where the professional status of the applicant cannot be established. By registering as a Professional Account, the User further declares that they are duly qualified to carry out their activity and that they operate in compliance with the regulations applicable in their country.

5. Account security

The User is solely responsible for the confidentiality of their access credentials and for all activities carried out through their account. Credentials are strictly personal and may not be transferred, shared or disclosed to third parties.

ISOdodo staff will never ask the User to disclose their password by any means. Any request of this kind must be regarded as fraudulent and reported to ISOdodo without delay.

The User must notify ISOdodo immediately at info@isododo.com of any unauthorised access to, or suspected compromise of, their account. ISOdodo is not liable for any misuse of an account resulting from the intentional or negligent disclosure of credentials by the User.

6. Certification Paths, prices and payment

Certification Paths are purchased through the Platform. Prices, the applicable pricing tier (determined by the size of the organisation) and the available payment options are those displayed on the purchase page at the time the order is placed.

Unless otherwise stated, prices are exclusive of VAT and any other applicable taxes or duties, which are charged in addition where due. ISOdodo applies the tax legislation in force in the countries in which it operates.

Payments are processed exclusively by Stripe, an independent payment service provider. ISOdodo does not collect or store the User's payment card details, which are handled by Stripe in accordance with its own terms and privacy policy. Access to a purchased Certification Path is activated once payment has been successfully confirmed.

A Certification Path has a total duration of three (3) years from the date of purchase and may be paid for in one of the following ways, as selected at checkout:

• Annual payment — an amount is charged for the first year and, at each anniversary, for the following years, up to the third year;
• Single payment — the amount for the three-year period is charged upfront at the time of purchase, with any subsequent charges made in accordance with the plan indicated at checkout.

In both cases, the maintenance of access to the Platform is managed through recurring automatic charges to the payment method registered with Stripe, in accordance with the plan selected. The User is responsible for keeping a valid and sufficiently funded payment method on file. Where a scheduled charge fails, ISOdodo may suspend access to the Path until payment is regularised.

The User may review and manage active payments at any time through the billing management area accessible from the Platform.

7. Duration, renewal and cancellation

Access to a Certification Path remains active until the expiry date shown in the User's account and is extended upon each successful renewal charge, up to the maximum three-year duration of the Path. At the end of the three-year period the Path expires and any recurring charges relating to it automatically cease.

The User may cancel recurring charges at any time through the billing management area. Cancellation takes effect at the end of the period already paid for: access to the Path remains available until the current expiry date and is not extended thereafter. Except where these Terms or mandatory law provide otherwise, amounts already paid for periods that have commenced are not refunded.

An expired or cancelled Path no longer grants access to training content, document templates or the guided submission of documentation. The User is therefore advised to retain their own copy of all documentation produced, in accordance with Section 9.

Since the Service consists of digital content and services made available immediately upon purchase and addressed exclusively to professional Users, the statutory right of withdrawal provided for consumers does not apply. Any refund granted by ISOdodo outside these cases is made on a discretionary basis and, where a refund is issued in respect of a Certification Path, the corresponding access and any residual AI allowances are revoked.

8. Purchases made on behalf of clients and referral programme

Professional Accounts may purchase a Certification Path on behalf of a client. In this case the purchasing professional acts as the contracting party towards ISOdodo and remains responsible for payment of the agreed amounts, while the client indicated at checkout is granted operational access to the Path.

The professional warrants that they have obtained the client's authorisation to activate the Path on their behalf and to communicate the client's email address to ISOdodo for that purpose. Pricing information is displayed exclusively within the professional's account and is not visible to the client.

Where ISOdodo makes a referral link available, the User may share it with colleagues and professionals. Accounts registered through such a link are associated with the referring User's account. The User undertakes not to promote the referral link through spam, misleading claims or any other unlawful or unfair practice. ISOdodo may modify or discontinue the referral programme, and may invalidate associations obtained in breach of these Terms.

9. User Content and documentation

The User retains all rights in their own User Content. By uploading User Content to the Platform, the User grants ISOdodo a non-exclusive, worldwide licence, limited to the term of the agreement, to host, store, reproduce and transmit such content solely to the extent necessary to provide the Service, including its transmission to the Certification Body where requested by the User.

The User is solely responsible for the accuracy, completeness, lawfulness and truthfulness of all User Content. In particular, the User declares that they have independently verified the content of the documents before submitting them, and acknowledges that errors, inconsistencies, omissions or false statements may have consequences for the User, including the negative outcome of an audit.

ISOdodo does not perform any legal, technical or operational check on User Content, does not validate it and assumes no role as certifier, auditor or consultant. ISOdodo is entitled to treat the information entered as truthful for processing purposes, without any obligation of further verification.

The User undertakes to retain their own copy of all documents produced through the Platform in a secure location. Although ISOdodo adopts appropriate technical measures to preserve the data hosted on the Platform, the Platform is not a backup or archiving service and ISOdodo does not guarantee the permanent availability of User Content, in particular following the expiry, cancellation or deletion of an account or Path.

The User undertakes not to upload content that is unlawful, that infringes third-party rights, or that contains special categories of personal data or information not strictly necessary for the certification process.

10. AI Features

The Platform integrates AI Features, including the virtual assistant "Isotta", intended to support the User in drafting and managing certification documentation. These features rely on third-party technology and are provided on the basis of the allowance associated with the User's account, which may be supplemented by purchasing additional packages.

AI Features are based on statistical models which, by their nature, may produce results that are inaccurate, incomplete or not appropriate to the specific context. The User undertakes to treat any AI-generated content as a preliminary draft and to review, verify and amend it before use, ensuring its accuracy, relevance and compliance with the applicable standards and regulations.

ISOdodo gives no warranty as to the accuracy, completeness or reliability of AI-generated content and is not liable for any error, omission or consequence arising from its use. AI Features do not involve automated decision-making producing legal effects or similarly significant effects on individuals.

The User undertakes not to enter into AI Features any data that is unnecessary, confidential to third parties or particularly sensitive, and not to use such features for purposes unrelated to the Service, for automated or bulk extraction of content, or in a manner that circumvents applicable usage limits.

11. Intellectual property

The Platform and all its components — including software, graphics, interfaces, trade marks, logos, texts, training videos, document templates and any other material made available by ISOdodo — are the property of ISOdodo or of its licensors and are protected by applicable intellectual property law.

Subject to compliance with these Terms and to payment of the amounts due, ISOdodo grants the User a personal, non-exclusive, non-transferable and revocable licence, limited to the term of the agreement, to access and use the Platform and to use the document templates for the sole purpose of implementing and managing a management system within their own organisation or, in the case of Professional Accounts, within the organisation of the client for whom the Path was activated.

Save as expressly permitted, the User may not reproduce, distribute, publish, sublicense, sell, rent, make available to third parties, or use for the creation of derivative or competing products, in whole or in part, the content and materials of the Platform. Any reverse engineering, decompilation, systematic extraction of content or circumvention of technical protection measures is prohibited.

Where the User provides feedback, suggestions or improvement proposals, ISOdodo may use them freely for the purpose of developing the Service, without this giving rise to any obligation or compensation.

12. Acceptable use

The User undertakes to use the Platform lawfully, correctly and in accordance with these Terms. The following are prohibited, by way of example:

• creating multiple accounts for the same entity, or accounts using false, third-party or fictitious identities;
• sharing, selling or otherwise transferring access credentials, or allowing use of the account by unauthorised third parties;
• using automated software, bots, scrapers, crawlers or any other unauthorised tool to interact with, monitor or extract content from the Platform;
• attempting to gain unauthorised access to the Platform, to other users' accounts or to the underlying infrastructure, or otherwise compromising its security or availability;
• uploading malware or content that is harmful, unlawful, defamatory or in breach of third-party rights;
• using the Platform to provide services to third parties in a manner not permitted by these Terms, or to develop a competing product or service;
• circumventing usage limits, pricing tiers or any technical or contractual restriction of the Service.

13. Suspension and termination

Where ISOdodo determines, following appropriate assessment, that the User has breached these Terms or applicable law, it may — depending on the seriousness of the breach — issue a warning, temporarily suspend the account, restrict access to individual features, refuse or cancel a submission in progress, or permanently close the account.

ISOdodo will, wherever possible, notify the User in advance and allow them to remedy the breach, unless immediate action is required to prevent damage, protect other users or comply with a legal obligation.

Except in cases of manifestly unfounded measures, closure of an account due to a breach attributable to the User does not give rise to any right to a refund of amounts already paid.

The User may request the closure of their account at any time by writing to info@isododo.com or by using the functions available in the profile area. Closure of the account entails the cessation of access to purchased Paths, without prejudice to Section 7.

Provisions which by their nature are intended to survive the termination of the agreement — including those on intellectual property, limitation of liability, indemnification and governing law — shall remain in force.

14. Availability of the Service

ISOdodo works constantly to ensure that the Platform is stable and continuously available, but does not guarantee uninterrupted, error-free or fault-free operation. Access may be suspended or limited for scheduled or emergency maintenance, updates, security reasons, or events beyond ISOdodo's reasonable control.

ISOdodo is not liable for malfunctions attributable to the User's devices, browsers, internet connection or IT environment, nor for interruptions caused by third-party providers.

15. Third-party services

The Platform relies on third-party services for its operation, including payment processing, AI features, video hosting, content delivery, email delivery, anti-abuse protection and traffic analysis. Such services are governed by the terms and privacy policies of the respective providers, and ISOdodo is not liable for their operation.

The Platform may contain links to third-party websites or resources. ISOdodo exercises no control over, and assumes no responsibility for, their content, policies or practices.

16. Warranties and limitation of liability

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, ISOdodo excludes any warranty, whether express or implied, as to the fitness of the Service for a particular purpose, the achievement of a specific result, or the obtaining, maintenance or renewal of any certification.

Use of the Platform takes place at the User's own risk. To the maximum extent permitted by law, ISOdodo shall not be liable for:

• inaccurate, incomplete or untruthful information or documents provided by the User;
• the negative outcome of an audit or certification process, or decisions of the Certification Body;
• errors, omissions or inaccuracies in AI-generated content;
• loss of profit, loss of business opportunities, damage to reputation, loss of data or any indirect or consequential loss;
• malfunctions of devices, connections or software used by the User, or events beyond ISOdodo's reasonable control.

In any event, and to the maximum extent permitted by applicable law, ISOdodo's aggregate liability towards the User in connection with the Service is limited to the amounts actually paid by the User to ISOdodo in the twelve (12) months preceding the event giving rise to the liability.

Nothing in these Terms excludes or limits liability for wilful misconduct or gross negligence, or any other liability that may not be excluded or limited under applicable mandatory law.

17. Indemnification

The User undertakes to hold ISOdodo, its staff and its collaborators harmless from any claim, action, loss, liability, cost or expense (including reasonable legal fees) arising from the User's breach of these Terms or of applicable law, from User Content, or from the use of the Platform in a manner not permitted.

18. Personal data protection

The processing of personal data carried out through the Platform is described in the Privacy Policy, which the User is invited to read carefully.

Where the User uploads personal data relating to their own employees, collaborators or clients, the User acts as data controller in respect of such data and warrants that they have a valid legal basis for the processing and for their communication to ISOdodo and, where applicable, to the Certification Body.

19. Communications

ISOdodo communicates with the User primarily by email, at the address provided at registration. Service communications relating to the account, purchases, renewals and the progress of Paths are an integral part of the Service and may not be disabled while the account remains active.

Where the User has given consent, ISOdodo may also send informational or promotional communications. The User may withdraw such consent at any time by using the unsubscribe link contained in each message or by writing to info@isododo.com.

20. Changes to these Terms

ISOdodo may amend these Terms and Conditions at any time, in particular to reflect changes to the Service, to third-party providers or to applicable law. The updated version is published on this page together with the date of the last update.

Material changes are notified to registered Users by email or by notice within the Platform with reasonable advance notice. Continued use of the Platform after the changes take effect constitutes acceptance of the new version. Users who do not accept the changes may cease using the Service and request the closure of their account in accordance with Section 13.

21. Miscellaneous

• Severability — should any provision of these Terms be held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• No waiver — failure by ISOdodo to exercise a right under these Terms does not constitute a waiver of that right.
• Assignment — the User may not assign this agreement without the prior written consent of ISOdodo. ISOdodo may assign it in the context of a reorganisation, merger or transfer of business, provided that the level of protection afforded to the User is not diminished.
• Force majeure — neither party shall be liable for failure to perform caused by events beyond its reasonable control.
• Entire agreement — these Terms, together with the Privacy Policy, supersede any previous agreement or communication between the parties relating to the Service.

22. Governing law and jurisdiction

These Terms and Conditions are governed by Italian law, without prejudice to any mandatory provisions of the law of the User's country of establishment that may not be derogated from by agreement.

Any dispute arising out of or in connection with these Terms and Conditions or the use of the Service shall be subject to the exclusive jurisdiction of the courts of the place where ISOdodo has its registered office. The parties undertake to attempt in good faith to settle the dispute amicably before commencing legal proceedings.
